SPINE HEALTH COACHING SERVICE AGREEMENT

1. DEFINITIONS

For clarity, the following capitalised terms have the meanings set out below:

• “Agreement” – this Service Agreement and all schedules, add-ons, and amendments.

• “Program” – the specific spine-health coaching tier selected by Client, including any add-ons.

• “Services” – all coaching, educational, and support activities provided under the Program.

• “Session” – any live or pre-scheduled coaching interaction, virtual or in-person.

• “Coaching Call” – a live video or telephone Session scheduled with the Coach.

• “Digital Content” – videos, PDFs, worksheets, and other electronic materials provided through the Client Portal.

• “Client Portal” – the secure online platform used to deliver Digital Content, track progress, and communicate.

• “Progress Assessment” – structured review of Client’s performance, pain levels, and mobility benchmarks.

• “Force Majeure Event” – an event beyond the reasonable control of a party, e.g. pandemics, hurricanes, outages.

• “Contraindications” – any injury, illness, or medical condition that may restrict or prevent safe participation.

2. PARTIES & EFFECTIVE DATE

This Agreement is entered into as of the date of the last signature or digital acceptance (“Effective Date”) by and between Daniel J. Argota (“Coach”), headquartered in Miami, Florida, and the purchaser of a Program (“Client”).

3. PROGRAM DESCRIPTION & SCOPE OF SERVICES

Coach offers three Program tiers (prices in USD):

START STRONG SOLO – $997 one-time

 • 90-day self-guided curriculum (video library + PDF guides)

 • Weekly Progress-Assessment templates

 Exclusions: No live coaching or feedback

TRAIN SMARTER WITH SUPPORT – $1,497 one-time or 3 × $515

 • Everything in Solo

 • Six 30-min Coaching Calls (bi-weekly)

 • Video-technique review & written feedback

 • Email support (48-hr)

 Exclusions: Additional live Sessions beyond allotment

TOTAL REBUILD – $3,497 one-time or 4 × $899

 • Everything in Support

 • Eleven 60-min weekly 1-to-1 Coaching Calls

 • Custom spine-first strength plan

 • Movement screening & analysis

 • Direct messaging (24-hr)

3.1 SERVICE BOUNDARIES

Coach is a certified fitness professional, NOT a licensed healthcare provider. Services are educational and motivational; they do NOT constitute medical advice, diagnosis, or therapy.

3.2 DELIVERY & TIMELINE

Digital Content is released within 24 hours of payment. Each Program runs for 90 consecutive days from that release unless extended in writing.

4. TERM, ACCESS & DIGITAL CONTENT POLICY

5. AUTOMATIC RENEWAL

• Certain add-on support plans may renew monthly after the initial Program term.

• Coach will send a renewal notice at least 7 days before the renewal date.

• Notice will state the renewal price and any changes.

• Client may cancel auto-renewal no later than 48 hours before renewal.

• Pro-rated refunds for unused days are issued within 10 business days.

6. CLIENT RESPONSIBILITIES

1. Active participation – follow workouts, track metrics, attend Sessions on time.

2. Health disclosure – inform Coach of contraindications and obtain clearance.

3. Safe environment – adequate space, proper equipment, footwear.

4. Technology – functional hardware + stable internet.

5. Communication – business hours Mon–Fri 9 a.m.–5 p.m. ET.

7. COACH RESPONSIBILITIES & PROFESSIONAL STANDARDS

• Maintain NASM-CPT plus 20 CEUs every two years.

• Professional liability insurance ≥ $1 million per claim.

• Uphold NASM Code of Ethics, professional boundaries, evidence-based guidance.

• Respond within tier-specific windows.

8. VIRTUAL TRAINING SPECIFICS

1. Recording – no recording without written consent.

2. Technical failures – if a session drops for >5 minutes, it will be rescheduled.

3. Privacy – both parties ensure private training environments.

4. Screen sharing – client consents to view demonstration videos.

9. MEDICAL EMERGENCY PROTOCOL

• Definition – chest pain, severe dizziness, loss of consciousness, etc.

• Coach response – stop session, advise 911, notify emergency contact.

• Client duties – keep contact details current, disclose high-risk conditions.

• Documentation – coach files an incident report within 24 hours.

• Liability per Section 15.

10. INVESTMENT & PAYMENT TERMS

1. Payment schedule – full or instalment plan (auto-draft monthly).

2. Late fees – balances >5 days past due incur 5 % late fee.

3. Refunds – 14-day money-back guarantee.

4. Chargebacks – filing without prior resolution attempt violates this Agreement.

5. Taxes – client responsibility.

11. CANCELLATION, RESCHEDULING & NO-SHOWS

12. INTELLECTUAL PROPERTY & ASSIGNMENT RIGHTS

• All materials © 2025 Daniel J. Argota. Personal, non-transferable licence.

• Access may not be shared, sold, or transferred without consent.

• Unauthorised transfer voids access; no refund.

• Coach may assign Agreement to a successor with 30-day notice.

13. CONFIDENTIALITY & DATA RETENTION

Coach stores data on encrypted servers for 3 years post-Program, then deletes or anonymises. Client keeps proprietary materials confidential. Privacy Policy applies.

14. NON-DISPARAGEMENT

Both parties agree to avoid false or malicious statements that harm the other’s reputation. Honest, fact-based reviews are welcome; issues should be raised privately first.

15. ASSUMPTION OF RISK & LIMITATIONS OF LIABILITY

1. Exercise involves inherent risks; client participates voluntarily.

2. Results vary; no guarantees of pain elimination or performance gains.

3. Coach liability capped at fees paid.

4. Client indemnifies Coach against claims arising from client negligence or breach.

16. FORCE MAJEURE

Neither party is liable for delay or failure caused by a force majeure event (pandemic, hurricane, outage). Notify within 72 hours; reschedule within 30 days. If suspended >45 days, either may terminate; unused fees pro-rated and refunded.

17. DISPUTE RESOLUTION & GOVERNING LAW

Informal resolution first; otherwise mediation in Miami-Dade County, Florida. Florida law governs and prevailing party may recover attorney fees.

18. MODIFICATIONS

Coach may amend non-material terms with 14-day notice. Material changes require explicit client consent (click-wrap or signature).
